Terms of Service

1. Acceptance of Terms

By accessing or using LoungeOS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including business owners, managers, and staff members.

2. Description of Service

LoungeOS is a cloud-based business management platform that provides point-of-sale, inventory management, reporting, team management, and related tools for hospitality businesses including bars, restaurants, cafés, lounges, hookah lounges, and nightclubs.

3. Account Registration

To use LoungeOS, you must create an account. You agree to provide accurate and complete information and to keep this information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

Each organisation account may have one owner and multiple team members with varying levels of access. You are responsible for all actions taken by users you invite to your organisation.

4. Free Trial

We offer a 14-day free trial period upon registration. No payment information is required to start your trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Your data will be retained for 30 days after trial expiry, after which it may be permanently deleted.

5. Subscription and Payment

LoungeOS is offered on a monthly subscription basis at ₦40,000 per organisation per month (or such other amount as may be communicated to you). Payments are processed securely via Paystack. By subscribing, you authorise us to charge your selected payment method monthly.

Subscriptions renew automatically each month unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and no refunds are issued for partial months.

We reserve the right to change our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not: (a) use the Service to process illegal transactions; (b) attempt to gain unauthorised access to any part of the Service; (c) reverse engineer or attempt to extract the source code of the Service; (d) use the Service to transmit malicious code or interfere with other users; (e) misrepresent your identity or your business.

7. Data and Privacy

You retain ownership of all data you input into the Service, including sales records, inventory data, and customer information. We process your data as described in our Privacy Policy. You grant us a limited licence to store and process your data solely for the purpose of providing the Service to you.

You are responsible for ensuring that any data you upload, particularly customer data, is handled in compliance with applicable data protection laws in your jurisdiction.

8. Intellectual Property

LoungeOS and all related software, designs, trademarks, and content are the intellectual property of LoungeOS and its licensors. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations. You may not copy, modify, distribute, or create derivative works from the Service.

9. Limitation of Liability

To the fullest extent permitted by applicable law, LoungeOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these terms shall not exceed the amount you paid to us in the three months preceding the claim.

10. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will endeavour to provide advance notice of significant planned downtime.

11. Termination

You may terminate your account at any time through the account settings or by contacting us. We reserve the right to suspend or terminate your account if you violate these terms, fail to pay your subscription fees, or engage in activity that may harm other users or the Service.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
